1. Agreement to Terms

By accessing or using EriThread ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

EriThread is a business-to-business (B2B) software-as-a-service platform designed for embroidery business management, including job scheduling, inventory management, customer relationship management, machine monitoring, and business reporting.

2. Account Terms

2.1 Account Creation

  • You must provide accurate, complete, and current information during the registration process
  • You are responsible for maintaining the security of your account credentials
  • You must be at least 18 years old or the age of majority in your jurisdiction to use this Service
  • One person or legal entity may maintain only one active account
  • You are responsible for all activities that occur under your account

2.2 Account Responsibilities

  • You are responsible for all content posted and activity that occurs under your account
  • You must notify us immediately of any unauthorized use of your account
  • We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion
  • Accounts registered by automated methods are not permitted

3. Subscription and Billing Terms

3.1 Pricing and Plans

  • EriThread operates on a subscription-based pricing model
  • Pricing details are available on our website and may be updated from time to time
  • We offer various subscription tiers with different feature sets and usage limits
  • All fees are exclusive of applicable taxes unless otherwise stated

3.2 Payment Terms

  • Payment is processed through Paystack, our third-party payment processor
  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method on a recurring basis without requiring prior approval for each charge

4. Acceptable Use Policy

You agree to use EriThread only for lawful purposes and in accordance with these Terms.

4.1 Prohibited Activities

You agree NOT to:

  • Use the Service for any illegal purpose or to violate any laws
  • Transmit any viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) without express written permission
  • Resell, lease, or provide access to the Service to third parties without authorization
  • Reverse engineer, decompile, or disassemble any part of the Service

5. Intellectual Property Rights

The Service, including its original content, features, functionality, and underlying technology, is owned by EriThread and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to the data and content you upload to the Service. By uploading content, you grant us a limited license to use, store, and process your content solely to provide the Service to you.

6. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy. We implement appropriate technical and organizational measures to protect your data, though no method of transmission or storage is 100% secure.

7. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ERITHREAD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU TO ERITHREAD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

8. Termination

You may terminate your account at any time. We may terminate or suspend your account immediately for any reason, including breach of these Terms, non-payment of fees, or fraudulent activity.

Upon termination, your right to use the Service will immediately cease, and we may delete your account and all associated data.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and sending an email notification. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
